By accessing or using the Website, you (“you” or “user”) agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Website.
1. Acceptance of Terms
These Terms constitute a binding agreement between you and Smart Tech Networx governing your access to and use of the Website. By accessing or using the Website, submitting information through it, or clicking to accept these Terms where presented, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference (see Section 8).
2. Scope; Relationship to Other Agreements
These Terms govern use of the Website only. They do not by themselves create any obligation to provide, or entitlement to receive, any managed IT, network, security, compliance, communications, or other paid services offered by Smart Tech Networx (the “Managed Services”).
If you are, or become, a client of Smart Tech Networx under a separately signed services agreement (including a Master Services Agreement, Service and Maintenance Agreement, PreVeil Service Agreement, Statement of Work, or Order Form / Estimate) (collectively, a “Services Agreement”), that Services Agreement exclusively governs the Managed Services provided to you. In the event of any conflict or inconsistency between these Terms and a signed Services Agreement with respect to the Managed Services, the signed Services Agreement controls. Nothing on the Website — including service descriptions, pricing, or statements regarding availability, warranties, support, or security — modifies, supplements, or supersedes a signed Services Agreement, and Website content is provided for general informational and marketing purposes only.
3. Eligibility
The Website is intended for business users and individuals who are at least 18 years of age (or the age of majority in their jurisdiction). By using the Website, you represent that you meet these requirements and that, if you use the Website on behalf of a business or other entity, you have authority to bind that entity to these Terms. The Website is not directed to children, and we do not knowingly collect personal information from children.
4. The Website and Informational Content
The Website provides information about Smart Tech Networx and the Managed Services it offers, including descriptions of managed network, security, compliance, communications, and managed guest Wi-Fi offerings, and may allow you to request information, request a quote, or contact us. Service descriptions, features, and pricing shown on the Website are subject to change without notice and are not an offer capable of acceptance; any Managed Services are provided solely under a signed Services Agreement and applicable Order Form / Estimate.
5. Acceptable Use; Prohibited Conduct
You must comply with all applicable laws and regulations when using the Website, and you are solely responsible for your use of the Website and any content or information you submit. You agree not to:
use the Website for any unlawful, fraudulent, harmful, or infringing purpose, or in violation of these Terms;
attempt to gain unauthorized access to, probe, scan, or test the vulnerability of the Website or any related systems or networks, or breach any security or authentication measures;
introduce viruses, malware, or other malicious code, or interfere with or disrupt the integrity or performance of the Website;
use any robot, scraper, or automated means to access, harvest, or copy content or data from the Website without our prior written permission;
reverse engineer, decompile, or attempt to derive the source code of any software made available through the Website, except as permitted by law;
impersonate any person or entity, or misrepresent your affiliation with any person or entity; or
collect or store personal information about other users without authorization.
We may investigate and take appropriate legal action against anyone who, in our sole discretion, violates this Section, including reporting suspected unlawful activity to law enforcement. Suspected abuse or security violations may be reported to abuse@smarttechnetworx.com.
6. Intellectual Property
All content and materials available through the Website, including but not limited to text, graphics, logos, icons, images, audio, video, and software, are the property of Smart Tech Networx, LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Website for your personal or internal business purposes. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any Website content except as expressly permitted by these Terms or with our prior written consent. “Smart Tech Networx” and our logos are our trademarks; all other marks are the property of their respective owners.
7. User Submissions
The Website may allow you to submit information or content, such as contact-form details, quote requests, inquiries, reviews, or other communications (“User Submissions”). You retain ownership of your User Submissions. You grant Smart Tech Networx a non-exclusive, royalty-free, worldwide license to use, store, reproduce, and process your User Submissions solely as necessary to operate the Website, respond to your inquiries, provide requested information or services, and improve our offerings. We will handle personal information contained in User Submissions in accordance with our Privacy Policy. You represent that you have all rights necessary to provide your User Submissions and that they do not violate any law or third-party right.
7.1 Reviews & Testimonials
If you provide a review, testimonial, rating, or similar endorsement about Smart Tech Networx or our services and you consent to our public use of it (for example, by checking a consent box when you submit it or by agreeing in writing), you grant Smart Tech Networx a non-exclusive, royalty-free, worldwide, sublicensable license to use, reproduce, publish, publicly display and perform, distribute, and adapt that review or testimonial — together with any first name, last initial, business name, title, city and state, and likeness, logo, or images you submit with it — for advertising, marketing, and promotional purposes on our Website, social media, and other materials. We may edit a testimonial for length, grammar, or clarity provided we do not materially alter its meaning, and we will attribute it as you direct or anonymize it at your request. You represent that your review or testimonial is truthful and reflects your genuine experience, and that you have all rights necessary to grant this license, including rights to any third-party names, marks, or content it contains. You may withdraw your consent or request removal at any time by contacting Sales@smarttechnetworx.com; upon a validated request we will cease further use and remove the testimonial from materials we control within a reasonable time, although we may be unable to recall or remove copies already distributed, cached, shared, or published by third parties. This permission is separate from, and in addition to, the limited license described above, and applies only to content for which you have given consent.
8. Privacy and Cookies
Your use of the Website is also governed by our Privacy Policy, available on our website, which describes how we collect, use, disclose, and protect personal information, and your choices regarding that information, including cookies. By using the Website, you acknowledge the practices described in the Privacy Policy. Please review it carefully. The Website does not collect or process payment card information; payments for Managed Services are handled by our third-party accounting and payment provider, Wave (Wave Financial Inc.), under its own terms.
9. Managed Guest Wi-Fi and End-User Data
Where Smart Tech Networx provides a managed guest Wi-Fi platform (via Beambox) under a signed Services Agreement, the client operating the guest network — not Smart Tech Networx — determines what data is collected from its guests and how that data is used, including for email and SMS marketing. If you are such a client, you are responsible for obtaining all legally required consents from your guests and for complying with all applicable laws governing the collection of personal data and the sending of marketing communications, including without limitation the Telephone Consumer Protection Act (TCPA) and applicable SMS/text-message consent rules, the CAN-SPAM Act, and applicable state privacy laws (including the CCPA/CPRA). Your specific responsibilities are set out in your Services Agreement, which controls; this Section is a general notice and does not limit those obligations.
10. Third-Party Links and Services
The Website may contain links to third-party websites, platforms, or services (including those of our technology vendors) that are not owned or controlled by Smart Tech Networx. We are not responsible for the content, policies, or practices of any third party, and the inclusion of a link does not imply endorsement. Your use of any third-party website or service is at your own risk and subject to that third party’s terms.
11. Copyright Complaints
We respect the intellectual property rights of others. If you believe that content on the Website infringes your copyright, please send a notice to admins@smarttechnetworx.com that includes: (i) a description of the copyrighted work you claim has been infringed; (ii) the location on the Website of the allegedly infringing material; (iii) your contact information; (iv) a statement that you have a good-faith belief that the use is not authorized; and (v) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf.
12. Disclaimer of Warranties
THE WEBSITE AND ALL CONTENT AND MATERIALS ON IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY INFORMATION ON THE WEBSITE IS ACCURATE, COMPLETE, OR CURRENT. THIS SECTION APPLIES TO THE WEBSITE ONLY AND DOES NOT LIMIT, WAIVE, OR MODIFY ANY WARRANTY EXPRESSLY PROVIDED TO A CLIENT UNDER A SIGNED SERVICES AGREEMENT.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SMART TECH NETWORX, LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE WEBSITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS SECTION GOVERNS LIABILITY ARISING FROM USE OF THE WEBSITE ONLY; LIABILITY ARISING FROM THE MANAGED SERVICES IS GOVERNED EXCLUSIVELY BY THE APPLICABLE SIGNED SERVICES AGREEMENT, INCLUDING ITS LIMITATION-OF-LIABILITY PROVISIONS.
14. Indemnification
You agree to indemnify, defend, and hold harmless Smart Tech Networx, LLC and its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Website, your User Submissions, or your violation of these Terms or any applicable law or third-party right.
15. Termination
We may suspend or terminate your access to the Website, in whole or in part, at any time and in our discretion, including for conduct that we reasonably believe violates these Terms or is harmful to other users, to us, or to third parties. Termination of Website access does not affect, and is separate from, any rights or obligations under a signed Services Agreement, which may only be terminated in accordance with its own terms. Sections that by their nature should survive termination (including Sections 2, 6, 7, 12, 13, 14, 16, and 18) will survive.
16. Governing Law; Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict-of-law principles. Subject to the following paragraph, you agree that any dispute arising out of or relating to these Terms or the Website will be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction of those courts.
17. Changes to These Terms
We may modify or replace these Terms from time to time. We will post the updated Terms on the Website and update the “Last Updated” date above. For material changes, we will use reasonable efforts to provide additional notice (for example, a notice on the Website or, where we have your email address, by email). Your continued use of the Website after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Website.
18. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be modified to the least extent necessary to make it enforceable, or if it cannot be so modified, severed, and the remaining provisions will remain in full force and effect.
19. Entire Agreement; Miscellaneous
These Terms, together with the Privacy Policy and any other policies posted on the Website, constitute the entire agreement between you and Smart Tech Networx regarding your use of the Website and supersede any prior website terms (including the Terms of Service last updated 10-8-2023). These Terms do not supersede a signed Services Agreement, which controls the Managed Services as set out in Section 2. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. There are no third-party beneficiaries to these Terms.
